1. Acceptance of These Terms
These Terms of Use (these “Terms”) are a binding agreement between you and Firefly Drone Systems, LLC, a Michigan limited liability company (“Firefly,” “we,” “us,” or “our”), and govern your access to and use of https://www.fireflydronesystems.com/, including all content, features, and functionality offered on or through it (collectively, the “Site”). By accessing or using the Site, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Site. If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
2. Informational Purposes Only; No Offer; Signed Agreements Control
The Site and its content, including descriptions of hardware, software, training, pricing, availability, specifications, frequently asked questions, and past deployments, are provided for general informational purposes only, may be changed or withdrawn at any time without notice, and do not constitute an offer capable of acceptance, a quotation, or a commitment by Firefly of any kind. All equipment sales or leases, software access, training, and related products and services are provided solely pursuant to separately executed written agreements between you and Firefly or its affiliates, such as sales agreements, leases, software-as-a-service agreements, end user license agreements, and training agreements. In the event of any conflict between these Terms and a signed written agreement between you and Firefly or its affiliates, the signed agreement controls with respect to its subject matter. Nothing on the Site, and no use of the Site, creates any agency, partnership, joint venture, or fiduciary relationship between you and Firefly.
3. Eligibility
The Site is intended for users who are at least 18 years of age or the age of majority in their jurisdiction. By using the Site, you represent that you meet this requirement and that you will use the Site only for lawful purposes.
4. Intellectual Property; Limited License
The Site and its entire contents, features, and functionality, including all text, graphics, logos, button icons, images, photographs, audio, video, animations, designs, data compilations, and software, are owned by Firefly, its affiliates, its licensors, or other content providers, and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. “Firefly Drone Systems” and related names, logos, and designs are trademarks of Firefly or its affiliates; nothing in these Terms grants you any license or right to use any Firefly trademark. Subject to your compliance with these Terms, Firefly grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and its content solely for your personal, informational, and internal business evaluation purposes. All rights not expressly granted are reserved by Firefly and its licensors.
5. Prohibited Uses
You shall not, and shall not permit any third party to:
(a) use the Site in any manner that violates any applicable federal, state, local, or international law or regulation;
(b) copy, reproduce, republish, download, distribute, publicly display, publicly perform, transmit, or create derivative works from any Site content without Firefly’s prior written consent, except for viewing in the ordinary course of using the Site;
(c) use any robot, spider, scraper, crawler, or other automated means to access the Site or extract data or content from it, other than customary search engine indexing conducted in accordance with our robots.txt directives;
(d) use any Site content, including video, imagery, animations, or text, to train, fine-tune, develop, or improve any artificial intelligence or machine-learning model, dataset, or system;
(e) frame, mirror, or embed the Site or any portion of it, or misrepresent your affiliation with Firefly;
(f) interfere with or disrupt the Site or its servers or networks, probe, scan, or test the vulnerability of the Site, breach or circumvent any security or authentication measures, or introduce any virus, malware, or other harmful code;
(g) remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on the Site or its content;
(h) use the Site or its content for purposes of competitive analysis, to develop or offer a competing product or service, or otherwise to Firefly’s commercial disadvantage;
(i) attempt to decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of any software forming part of the Site; or
(j) collect or harvest any personal information of others from the Site.
6. Submissions, Communications, and Feedback
Information you submit through the Site, including through our contact and pricing request forms, is governed by our Privacy Policy. By submitting an inquiry, you consent to Firefly contacting you by email or telephone regarding your inquiry, and, where you have opted in, to receiving marketing communications from which you may unsubscribe at any time. The Site’s forms are not secure channels for confidential information; do not submit information you consider confidential or proprietary, and no confidential or fiduciary relationship is created by any submission. If you send Firefly any ideas, suggestions, proposals, or other feedback concerning the Site, our equipment, or our software (“Feedback”), you grant Firefly a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, and otherwise exploit such Feedback for any purpose, without restriction, attribution, or compensation. You represent that any information you submit is accurate and that your submission does not violate any law or the rights of any third party.
7. Aviation and Operational Disclaimers
Use of Firefly drone show systems involves aerial operations subject to authorization and regulation by the Federal Aviation Administration, including operations conducted under 14 C.F.R. Part 107 and applicable waivers, as well as airspace restrictions, weather, and site and safety conditions. Descriptions, images, and videos on the Site are illustrative only and do not guarantee the configuration, performance, or outcome of any system or operation. Information on the Site regarding drone operations, safety, or regulation is provided for general informational purposes only and is not aviation, legal, or regulatory advice. The scope, performance, support, training, and other terms applicable to any purchase or engagement are governed exclusively by the applicable signed agreement.
8. Third-Party Websites and Content
The Site may contain links to third-party websites, platforms, and resources, including social media platforms and affiliated or partner websites. These links are provided for your convenience only. Firefly does not control and is not responsible for the content, products, services, or privacy practices of any third-party site, and a link does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms and policies.
9. Careers Postings
Job postings on the Site, if any, are for informational purposes only and do not constitute an offer of employment. Any employment relationship is contingent upon Firefly’s application, interview, verification, and hiring processes and will be governed by separate documentation.
10. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FIREFLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, FIREFLY DOES NOT WARRANT THAT THE SITE OR ITS CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FIREFLY OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT ON IT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FIREFLY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, FIREFLY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00). THE FOREGOING DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO OR LIMIT ANY SIGNED WRITTEN AGREEMENT BETWEEN YOU AND FIREFLY OR ITS AFFILIATES, WHICH IS GOVERNED BY ITS OWN TERMS.
12. Indemnification
You agree to defend, indemnify, and hold harmless Firefly and its members, managers, officers, employees, agents, affiliates, successors, and permitted assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your misuse of the Site or its content, or your violation of applicable law or the rights of any third party.
13. Copyright Complaints
Firefly respects the intellectual property rights of others. If you believe that material on the Site infringes your copyright, please send a notice to:

Your notice should include an identification of the copyrighted work and the allegedly infringing material, your contact information, a statement of good-faith belief that the use is not authorized, a statement under penalty of perjury that the information is accurate and that you are authorized to act for the copyright owner, and your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate access for repeat infringers.
14. Changes to the Site and to These Terms
Firefly may modify, suspend, or discontinue the Site, or any portion of it, at any time without notice, and will not be liable for any such modification, suspension, or discontinuance. We may revise these Terms from time to time by posting the updated Terms on the Site and updating the “Last Updated” date above. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, you must stop using the Site.
15. Termination
Firefly may restrict, suspend, or terminate your access to all or any part of the Site at any time, with or without notice, for any reason or no reason, including any violation of these Terms. Sections of these Terms that by their nature should survive termination, including Sections 2, 4, 5, 6, 10, 11, 12, 16, and 18, will survive.
16. Governing Law; Venue; Waiver of Jury Trial
These Terms and any dispute arising out of or relating to the Site are governed by the internal laws of the State of Michigan, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Site shall be instituted exclusively in the United States District Court for the Eastern District of Michigan or, if such court lacks subject-matter jurisdiction, the courts of the State of Michigan sitting in Oakland County, and each party irrevocably submits to the exclusive jurisdiction and venue of such courts and waives any objection based on inconvenient forum.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.
17. Electronic Communications
By using the Site or communicating with Firefly electronically, you consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law, including the federal Electronic Signatures in Global and National Commerce Act and the Michigan Uniform Electronic Transactions Act.
18. Miscellaneous
These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Firefly regarding use of the Site, subject to Section 2 with respect to signed written agreements. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver by Firefly of any term or condition is effective unless in writing, and no failure or delay in exercising any right operates as a waiver. You may not assign or transfer these Terms or any rights under them without Firefly’s prior written consent; Firefly may freely assign these Terms. These Terms do not confer any rights or remedies on any third party. Firefly will not be liable for any failure or delay resulting from causes beyond its reasonable control.
19. Accessibility
Firefly is committed to making the Site accessible to the widest possible audience and endeavors to conform to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. If you experience difficulty accessing any part of the Site or wish to report an accessibility barrier, please contact us using the information in Section 20 so that we can assist you and work to address the issue.
